Agreement Between User and Novice Company, LLC
Welcome to Novice Company, LLC. These Terms and Conditions ("Terms") govern your use of all websites, web applications, software platforms, services, and communications owned, operated, or maintained by Novice Company, LLC ("Novice Company," "we," "us," or "our"), including www.novicecompany.com, any Software-as-a-Service (SaaS) applications built and operated by Novice Company, LLC, and any SMS, automated notification, or AI assistant services we operate (collectively, the "Services").
By accessing or using any of our Services, you agree to be bound by these Terms. Please read them carefully. If you do not agree, you may not use our Services.
Services Description
Novice Company, LLC provides digital automation consulting, software tools, and AI-assisted business services. Our Services include:
Software-as-a-Service (SaaS) applications — web-based tools and platforms designed, built, maintained, and owned by Novice Company, LLC, made available to users and customers via the internet.
Consulting and automation services — digital workflow automation, AI integration, and project delivery services for business clients.
SMS and notification services — automated business communications, project notifications, and AI assistant interactions delivered via SMS and other channels to clients and collaborators.
Privacy
Your use of our Services is subject to the Novice Company, LLC Privacy Policy, which is incorporated into these Terms by reference. Our SMS Messaging Policy governs all text message communications. Please review both policies, as they describe our data collection and communication practices.
Electronic Communications
Using our Services or contacting Novice Company, LLC by email or SMS constitutes electronic communication. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
SMS and Mobile Communications
If you provide your mobile phone number and consent to receive SMS messages, you agree to the terms of our SMS Messaging Policy, including:
Receiving operational notifications, project updates, service alerts, one-time passcodes, and business communications relevant to your relationship with Novice Company, LLC.

You may opt out at any time by replying STOP. Reply HELP for assistance.
Your mobile number will not be sold, rented, or shared with third parties for marketing purposes.
Your Account
If you create an account with any of our Services, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You may not assign or transfer your account to any other person or entity. Novice Company, LLC is not responsible for unauthorized access to your account resulting from theft or misappropriation of your credentials. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
Children Under Thirteen
Novice Company, LLC does not knowingly collect personal information from children under the age of thirteen, either online or offline. If you are under 18, you may use our Services only with the permission of a parent or guardian.

Novice Company, LLC is not responsible for the content, accuracy, or privacy practices of any linked site or third-party service. The inclusion of any link does not imply endorsement. International Users
Our Services are controlled, operated, and administered by Novice Company, LLC from the United States. If you access our Services from outside the US, you are responsible for compliance with all applicable local laws.
Indemnification
You agree to indemnify, defend, and hold harmless Novice Company, LLC, its officers, directors, employees, agents, and third-party partners from any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of or inability to use our Services; your violation of these Terms; your violation of any third-party rights; or your violation of applicable laws or regulations. Novice Company, LLC reserves the right to assume exclusive control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in that defense.
Arbitration
In the event the parties cannot resolve any dispute arising out of or concerning these Terms — whether in contract, tort, or otherwise — such dispute shall be resolved exclusively by final and binding arbitration under the Federal Arbitration Act, conducted by a single neutral arbitrator administered by the American Arbitration Association, or a similar service mutually agreed upon, in a location mutually agreed upon. The arbitrator's award shall be final and may be entered as a judgment in any court of competent jurisdiction. The prevailing party shall be entitled to recover reasonable costs and attorneys' fees. This arbitration provision survives termination of these Terms.
Class Action Waiver
Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class, collective, or representative actions are not permitted. The parties agree that each may bring claims against the other only in their individual capacity and not as a plaintiff or class member in any putative class, collective, or representative proceeding.
Liability Disclaimer
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH NOVICE COMPANY, LLC MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. NOVICE COMPANY, LLC MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF ITS SERVICES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. NOVICE COMPANY, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVICE COMPANY, LLC BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF OUR SERVICES OR THESE TERMS, YOUR SOLE REMEDY IS TO DISCONTINUE USE.
Termination and Access Restriction
Novice Company, LLC reserves the right, in its sole discretion, to terminate your access to any or all Services at any time without notice. To the maximum extent permitted by law, these Terms are governed by the laws of the Commonwealth of Pennsylvania. You consent to the exclusive jurisdiction of courts in Pennsylvania for any disputes arising from use of our Services that are not subject to arbitration.
No joint venture, partnership, employment, or agency relationship exists between you and Novice Company, LLC as a result of these Terms. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. These Terms, together with our Privacy Policy and SMS Messaging Policy, constitute the entire agreement between you and Novice Company, LLC regarding use of our Services.
Changes to Terms
Novice Company, LLC reserves the right to update these Terms at any time. The most current version will be posted at www.novicecompany.com/terms and will supersede all prior versions. We encourage you to review these Terms periodically. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
